Terms and Conditions

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use FindStars.

By using the Services, you represent that the information you provide is accurate and that you are authorized to act on behalf of any business you register.

2. The FindStars Marketplace

FindStars provides a marketplace that helps Businesses discover and connect with Creators for advertising, social-media content, user-generated content, reviews, promotions, and related opportunities.

FindStars is not the employer, employee, agent, partner, or representative of a Creator or Business solely because they use the platform.

Unless expressly stated otherwise, Businesses and Creators are responsible for determining the terms of their own working relationships, including compensation, deliverables, deadlines, intellectual-property rights, product delivery, tax obligations, and other project terms.

FindStars does not guarantee that:

• a Business will receive applications
• a Creator will receive work
• a Mission will produce particular results
• another user's statements are accurate
• a user will perform an agreement made through the platform

3. Accounts

You are responsible for:

• providing accurate account information
• maintaining the security of your credentials
• activity occurring through your account
• promptly notifying FindStars of suspected unauthorized access

You may not impersonate another person or business or create an account using information you are not authorized to use.

4. Creator Profiles

Creators may provide categories, platforms, follower information, average views, social links, website information, location, travel radius, portfolio information, and other profile content.

Creators are responsible for ensuring this information is accurate and that they have the right to publish it.

Creators must not deliberately falsify audience size, engagement, platform statistics, identity, previous work, or other material information.

5. Businesses and Missions

Businesses may create Missions describing creator opportunities.

Businesses are responsible for ensuring Mission listings are accurate, lawful, and not misleading.

Businesses must clearly communicate relevant requirements, deliverables, deadlines, compensation expectations, eligibility requirements, and other material terms.

FindStars may remove or restrict Missions that violate these Terms or create platform safety concerns.

6. Sponsored Content and Advertising Disclosures

Creators and Businesses are responsible for complying with advertising, endorsement, consumer-protection, and disclosure requirements applicable to their campaigns.

Where a Creator receives money, products, discounts, services, or anything else of value in connection with content, the parties are responsible for making any legally required sponsorship or material-connection disclosure.

FindStars does not provide legal approval of content or guarantee that content complies with advertising laws.

7. Applications and Invitations

Creators may apply to Missions, and Businesses may invite Creators to Missions.

An application, invitation, acceptance, or message within FindStars does not by itself guarantee payment, employment, delivery of services, or creation of any particular legal relationship.

Users are responsible for documenting the terms of any engagement they enter into.

8. Messaging

FindStars may provide in-app messaging and paid communication features.

Users may not use messaging to:

• harass or threaten others
• send spam
• conduct fraud
• distribute malicious content
• solicit illegal activity
• circumvent platform restrictions
• transmit content they do not have permission to send

Existing conversation records may be preserved for safety, dispute, fraud-prevention, or moderation purposes.

9. Paid Direct Text

Businesses may purchase a Direct Text communication to contact a Creator where the feature is available.

Purchasing a Direct Text does not guarantee that a Creator will respond or enter into a relationship with the Business.

A Creator's response and subsequent messaging permissions are governed by the current FindStars messaging rules.

10. Blocking and Reporting

Users may be able to block other accounts and report profiles, accounts, or conversations.

Blocking may restrict messaging and other interactions between the accounts.

Reports may be reviewed by FindStars for safety, fraud, abuse, or Terms enforcement.

Submitting a report does not guarantee any particular enforcement action.

Users must not knowingly submit false or abusive reports.

FindStars may preserve relevant account and conversation information when reasonably necessary to investigate a report.

11. Payments

Certain FindStars features require payment.

Prices and applicable charges are displayed before purchase.

Payments may be processed by third-party payment providers.

You authorize the applicable payment processor to charge the payment method you provide for purchases you initiate.

Except where otherwise required by law or expressly stated at checkout, fees for services already delivered or activated may be non-refundable.

12. Starlight

Starlight is an optional recurring Creator subscription that may provide enhanced profile visibility or other benefits described at the time of purchase.

Subscription pricing and billing frequency will be displayed before purchase.

Unless canceled, recurring subscriptions may renew according to the terms presented at checkout.

If cancellation is scheduled for the end of a paid billing period, Starlight benefits may remain active through the applicable paid-through date.

Cancellation stops future renewal but does not necessarily terminate already-paid access immediately.

13. Mission Posting and Mission Boost

FindStars may charge Businesses to publish Missions after any applicable free publication entitlement has been used.

Mission Boost may provide enhanced placement or visibility for a stated period.

Purchasing a Boost does not guarantee applications, Creator responses, sales, views, or other results.

Boosted Missions remain subject to eligibility, relevance, search filters, expiration, and platform rules.

14. Refund Policy

Except as expressly stated below, purchases made through FindStars are generally non-refundable once the purchased service or feature has been delivered, activated, published, or otherwise made available to the purchaser.

FindStars currently offers paid features that may include Mission Postings, Mission Boosts, Direct Text messages, Starlight subscriptions, and other paid services introduced from time to time.

One-Time Purchases

One-time purchases, including Mission Postings, Mission Boosts, and Direct Text messages, are generally non-refundable once the applicable service has been successfully delivered or activated.

A refund may be approved when:

• a customer was charged more than once for the same purchase;
• payment was successfully collected but a verified FindStars technical error prevented the purchased service from being delivered or activated;
• an incorrect charge resulted from a FindStars billing error; or
• FindStars determines, in its discretion, that another exceptional circumstance warrants a refund.

The following circumstances generally do not qualify for a refund:

• a Mission does not receive the number or quality of applications the purchaser expected;
• a Mission Boost does not produce a particular amount of exposure, engagement, applications, or other result;
• a Creator does not respond to a successfully delivered Direct Text message;
• a business or Creator changes their mind after a purchased service has been delivered;
• a user deletes, closes, cancels, or stops using a purchased feature after delivery; or
• a user is dissatisfied with the performance or outcome of another FindStars user.

FindStars does not guarantee that a Mission, Mission Boost, Direct Text, Creator profile, or other platform feature will produce any particular response, engagement level, application, collaboration, revenue, or other business result.

Starlight Subscriptions

Starlight is a recurring subscription service.

Users may cancel Starlight according to the cancellation options provided through their FindStars billing settings. Cancellation prevents future renewals but does not ordinarily result in a refund for subscription periods that have already been paid for or made available.

Refunds for Starlight may be considered for duplicate charges, verified FindStars billing errors, or other exceptional circumstances approved by FindStars.

Any rights a user may have under applicable law remain unaffected.

Refund Requests

Refunds are not automatically issued based solely on a user request.

FindStars may review the relevant payment, delivery, account, messaging, Mission, or system records before approving a refund.

Approved refunds will generally be returned to the original payment method used for the purchase.

Processing times are controlled in part by the payment provider, bank, or card issuer and may vary after FindStars initiates a refund.

FindStars may issue a full or partial refund when appropriate.

Abuse of Refunds

FindStars may deny refund requests that appear fraudulent, abusive, repetitive, or intended to obtain paid services without payment.

Attempting to misuse refunds, payment disputes, chargebacks, or payment systems may result in restrictions or suspension of a FindStars account where permitted by applicable law and these Terms.

Nothing in this Refund Policy limits any non-waivable consumer rights or remedies provided by applicable law.

15. SMS Terms

FindStars LLC is the sender of all SMS communications sent through the FindStars platform. Creator SMS participation is optional and separate from account registration.

Creators may separately consent to receive two categories of text messages from FindStars:

• Service / Non-Marketing SMS: Messages about account activity, Mission invitations, direct messages, payment-related updates, and other service notifications.
• Marketing SMS: Messages about special offers, promotions, discounts, product updates, service updates, and FindStars news.

Marketing and service SMS consent are separate. Granting one does not grant the other. SMS consent is optional and is not a condition of purchasing FindStars services or maintaining a FindStars account.

Message frequency varies. Message and data rates may apply.

Reply STOP to opt out of applicable SMS communications. Reply HELP for assistance. To rejoin, follow the supported opt-in process in your account settings or reply START where supported. Carrier-level opt-outs (such as replying STOP) cannot simply be overridden by a FindStars account setting.

Wireless carriers are not responsible for delayed or undelivered messages.

No mobile information will be shared with third parties or affiliates for their independent marketing or promotional purposes. SMS opt-in data and consent are not shared for third-party marketing. Messaging information may only be provided to carriers, aggregators, communications providers, and support providers as necessary to operate the messaging service.

16. User Content

You retain ownership of content you submit to FindStars, subject to any rights you separately grant another user in connection with a Mission or agreement.

You grant FindStars a limited, non-exclusive license to host, store, reproduce, display, and process content as reasonably necessary to operate, secure, promote, and improve the Services.

You represent that you have the rights necessary to upload or submit content you provide.

17. Prohibited Conduct

You may not use FindStars to:

• violate applicable law
• commit fraud or deception
• impersonate another person or entity
• harass, threaten, stalk, or exploit others
• distribute malware or malicious code
• scrape or harvest platform data without authorization
• circumvent account blocks or safety restrictions
• manipulate reviews, analytics, applications, or engagement
• submit fraudulent payment disputes
• interfere with platform security
• use automated systems in a manner that harms or overloads FindStars
• post unlawful, infringing, deceptive, or abusive content

18. Reviews

Where FindStars provides reviews, users must submit genuine opinions based on actual experiences.

Users may not buy, sell, fabricate, manipulate, or condition reviews in violation of applicable law or FindStars policies.

FindStars may remove reviews that violate platform rules or legal requirements.

19. Intellectual Property

FindStars, its branding, software, interface, designs, and other platform materials are owned by or licensed to FindStars and are protected by applicable intellectual-property laws.

These Terms do not grant users ownership of FindStars technology or branding.

20. Suspension and Termination

FindStars may restrict, suspend, or terminate access when reasonably necessary to:

• enforce these Terms
• protect users
• investigate fraud or abuse
• comply with law
• protect the security or integrity of the Services

Where appropriate, FindStars may consider reports, account history, payment activity, and other relevant information.

21. Account Deletion

FindStars may provide a process to request account deletion.

Deletion may require confirmation through the account holder's verified email address.

Some information may be retained where reasonably necessary for legal compliance, payment records, fraud prevention, safety investigations, dispute resolution, or enforcement.

22. Third-Party Services

FindStars may link to or integrate with third-party websites, social networks, payment processors, communications providers, and other services.

FindStars does not control those services and is not responsible for their independent terms, availability, security, or practices.

23. Disclaimers

The Services are provided on an “as available” basis to the extent permitted by law.

FindStars does not guarantee uninterrupted operation, a particular number of opportunities, Creator responses, campaign results, audience engagement, earnings, sales, or other outcomes.

Users are responsible for evaluating other users and determining whether to enter into a business relationship.

24. Limitation of Liability

To the fullest extent permitted by applicable law, FindStars and its owners, officers, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of the Services.

To the extent permitted by law, FindStars' aggregate liability arising from the Services will not exceed the greater of the amount you paid directly to FindStars during the twelve months preceding the event giving rise to the claim or $100.

Some jurisdictions do not permit certain limitations, so portions of this section may not apply to you.

25. Indemnification

To the extent permitted by law, you agree to indemnify and hold FindStars harmless from claims, damages, losses, liabilities, and reasonable expenses arising from your unlawful use of the Services, your content, your violation of these Terms, or your violation of another person's rights.

26. Governing Law

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Any dispute not subject to another legally required forum will be handled in an appropriate state or federal court located in Ohio.

27. Changes to These Terms

We may update these Terms as FindStars evolves.

If changes are material, we may provide notice through the Services, by email, or through another appropriate method.

Continued use after updated Terms become effective constitutes acceptance to the extent permitted by law.
